License Agreement

Your permission to use ZBounce software, interfaces and supplied materials, and the conditions that protect both your rights and our products.
1. Scope and relationship to other terms
This agreement covers ZBounce applications, plugins, interfaces, documentation, templates and other materials supplied for use with our services. It applies when you accept it through the relevant order, registration, installation or access process. Merely viewing informational website content does not create a paid subscription.
Read this agreement together with the Terms of Service and Privacy Policy. The Terms govern orders, payments, acceptable use and service responsibilities. An expressly agreed order or separate written agreement takes priority on the matters it specifically addresses; applicable data-processing terms govern their subject matter.
2. Permission to use the product
Subject to the applicable agreement and payment of any required fees, ZBounce grants you a limited, non-exclusive permission to access and use the product for your lawful personal or business activities, within your plan and the scope of your order. You may permit authorised staff and contractors to use it on your behalf within those limits.
Where downloadable software is supplied, you may install and use it on authorised devices or sites and keep copies reasonably needed for that use and backup. Service access, paid features, updates and support depend on the applicable plan; possession of a software copy or key does not grant unlimited service access.
You may adapt supplied email templates and illustrations, add your own content and send or publish the resulting communications in your lawful activities. This permission covers those communications; it does not permit reselling the supplied template or asset collection as a standalone product unless separately authorised.
3. Conditions of use
Except as separately authorised or permitted by an applicable open-source licence or mandatory law, do not resell, sublicense, rent or distribute the product, share paid access outside your authorised users, remove ownership notices or use the product to provide unauthorised access to third parties.
Do not bypass access controls, licensing checks, quotas or security protections, interfere with other users, or use the product for unlawful communications or content. Reverse engineering, decompilation and disassembly are restricted only to the extent the law permits; statutory rights to interoperability, observation, testing and other protected activities remain available.
4. Ownership and your materials
ZBounce and its licensors retain their rights in the product and supplied materials. This licence grants permission to use them and does not transfer ownership or grant a separate right to use ZBounce trademarks as your own.
You retain rights in the contact data, text, images and other content you supply. You grant only the permissions needed to process, store and transmit that content to provide the services you request and meet lawful obligations. You are responsible for the permissions required for your content and communications. Personal-data handling is described in the Privacy Policy and any applicable data-processing agreement.
5. Separate licences and external services
A component distributed under an open-source or other separate licence remains governed by that licence, which takes priority for the rights it grants in that component. Nothing here removes rights to copy, modify or redistribute such a component where its licence permits them.
The ZBounce WordPress plugin is distributed under GPLv2 or later. Those rights apply to the plugin code; access to the hosted verification service, purchased credits and API usage remains subject to the separate service terms.
External services and integrations may have their own terms, charges and availability conditions. Their use does not expand your ZBounce licence or give ZBounce ownership of your data. ZBounce remains responsible for its own obligations under the applicable agreement and law.
6. Functionality, updates and warranties
Product features, compatibility and access depend on the version and service selected. Updates may address security, functionality or compatibility; install updates reasonably needed for safe operation. Additional support, future features or compatibility with every third-party system is included only where agreed.
Except for express commitments and mandatory legal standards, the product is supplied as available, without additional warranties of uninterrupted operation, complete accuracy or fitness for a particular purpose. Verification, sending and reporting have the limitations described in the Terms of Service. No wording here removes mandatory standards for digital content or services.
7. Duration and ending use
This permission continues for the period and scope established by your order or the applicable service conditions. You may stop using the product; cancellation of a paid plan follows the Terms of Service. ZBounce may suspend or end permission for the reasons and subject to the protections stated in those Terms.
When permission ends, stop using the affected restricted features and remove copies you are no longer entitled to retain. Independently granted open-source rights, your own content and rights in communications already lawfully created remain unaffected. Accrued payment obligations, ownership provisions and enforceable liability limits continue where relevant; data retention and statutory remedies are governed by the Privacy Policy and applicable law.
8. Liability
Nothing in these Terms or the License Agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Mandatory consumer remedies and rights under applicable data-protection law remain unaffected.
For business customers, and subject to those exceptions and any applicable requirement of reasonableness, ZBounce is not liable for loss of profits, revenue, business, contracts, anticipated savings, opportunities or goodwill; loss, corruption or restoration of data; or indirect or consequential loss arising from use, non-use or inability to use the product or service. The listed business losses are excluded whether direct or indirect, to the extent the law permits.
Subject to the same exceptions and legal requirements, ZBounce’s total aggregate liability to a business customer arising from the affected product or service is limited to the fees paid or payable by that customer under the order for that product or service. This is a combined limit across these Terms and the License Agreement, not a separate limit under each. It applies to claims in contract, tort including negligence, breach of statutory duty or otherwise.
The business exclusions and cap do not apply to consumers. For consumers, ZBounce remains responsible for loss or damage that is a foreseeable result of its breach of contract or failure to use reasonable care and skill, and for any other liability required by law. No clause removes statutory rights to an appropriate remedy, including repair, repeat performance, a price reduction or refund where applicable.
9. Governing law and interpretation
These Terms, the License Agreement and related non-contractual obligations are governed by the law of England and Wales. For business customers, the courts of England and Wales have exclusive jurisdiction over related disputes.
Consumers retain the protection of mandatory laws applicable in their country of habitual residence and any right to bring proceedings before their local courts. Nothing prevents a complaint to a competent regulator or limits rights of individuals who are not parties to these agreements.
The English text is the primary version. Translations assist understanding; the English version prevails in a discrepancy only to the extent permitted by law, without overriding mandatory language requirements, consumer protections or binding information provided at purchase.
If a provision is unenforceable, the remaining provisions continue so far as legally possible.
